THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, CLASS-ACTION WAIVER, AND A MANDATORY DISPUTE RESOLUTION PROCEDURE FOR ANY AND ALL CLAIMS THAT MAY ARISE HEREUNDER AGAINST BLOCKLIVE, INC., ITS AFFILIATES, MANAGERS, MEMBERS, SERVICE PROVIDERS, PARTNERS, ADVISORS, AND VENDORS (COLLECTIVELY, "COVERED PARTIES"), WHO ARE THE EXPRESS THIRD-PARTY BENEFICIARIES OF THE MANDATORY DISPUTE RESOLUTION PROCEDURE. THE AFOREMENTIONED PROVISIONS ARE AN ESSENTIAL BASIS OF THIS AGREEMENT.

1. ACCEPTANCE OF TERMS

By accessing or using Stage's platform, services, smart contracts, or interfaces (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Services.

You agree to the following Terms and Conditions in its entirety when you:

  • Access or use the Services
  • Access and/or view any of the:
    • Links to third-party resources and other information ("Third-Party Links") through the Platform
    • Videos, audio, stories, text, photographs, graphics, artwork, information and/or any other content that may be featured on the Platform (the "Platform Content," and together with the Third-Party Links, the "Content")
    • Any of the Monad blockchain-based smart contracts, fungible cryptographic assets known as "ERC-20 Tokens" or equivalent "Culture Coins" featured on the Platform ("Stage")
  • Utilize the various registration forms, contact forms and/or contact information made available on the Platform

By using the Services, including the Swap Interface, you also agree to the terms of third-party providers such as Privy (linked here: https://www.privy.io/user-terms-of-service) and Uniswap Labs (linked here: https://support.uniswap.org/hc/en-us/articles/30935100859661-Uniswap-Labs-Terms-of-Service).

2. DEFINITIONS

BlockLive:
Refers to BlockLive, Inc. an entertainment infrastructure company.
Stage:
Refers to the platform developed by BlockLive for the purpose of selling Culture Coins.
Platform:
Refers to Stage's decentralized protocols, smart contracts, and interfaces.
User:
Refers to any individual or entity accessing or using the Services.
Protocol:
Refers to the Stage smart contract system.
Tokens:
Refers to any digital assets used within the Platform.
Culture Coins:
Refers specifically to the collectible digital assets sold through the Platform.
USDC:
Refers to the stablecoin used for the purchase of Culture Coins.
Wallet:
Refers to the digital wallet you connect to the Platform, including those generated through Privy.io.
Monad:
Layer 1 blockchain bringing parallel execution to the EVM on which Stage protocols and smart contracts operate
Uniswap Protocol:
Refers to a peer-to-peer system designed for exchanging cryptocurrencies (ERC-20 Tokens) on the Ethereum blockchain, as well as Ethereum Virtual Machine (EVM) compatible blockchains like Monad.
Swap Interface:
Refers to the user interface interacting with the Uniswap Protocol for trading Tokens and Culture Coins.
Services:
Refers to the aggregate of the definitions above.

3. LAUNCHPAD

Using any Protocol carries risk. Engaging in a Launchpad listing ("Launches"), by which users choose to commit funds into a pool and in return, if the threshold is met, receive tokens. The tokens acquired through Launches are purely speculative in nature. Platform users should exercise caution and conduct thorough research before purchasing.

Third party curation is not an indicator of project quality or token value. It is solely the users responsibility to investigate independently.

Each Launch may contain its own restrictions, terms and unique considerations. A user must review and accept all individual third-party terms before taking any action.

Users should consult legal counsel regarding potential securities implications of Launches under applicable laws.

BLOCKLIVE HAS NO RESPONSIBILITY FOR THE RESULTS OF ANY TRANSACTION THAT OCCURS BETWEEN ANY PARTIES UTILIZING THE PLATFORM.

3.1 No Liability or Verification by BlockLive

A verified project implies that the team and other third-parties have made a good faith effort to assess the validity of founder(s) statements. Should a founder or team members make errors or omit key information it is not the responsibility of Stage team or any third-party.

A token launch classified as unverified is a project without any formal vetting, auditing, or validation processes by Stage or any other third-party entity. The responsibility for assessing the legitimacy and risks associated with an unverified launch rests entirely with the purchaser. Any investor is strongly advised to conduct thorough due diligence before committing funds.

The founder or offeror is utilizing the Stage platform solely as a decentralized infrastructure for promotional and sale purposes. Stage provides the execution tools, including smart contracts for trustless purchase, but it does not endorse, sponsor, or actively promote unverified projects. The platform's role is confined to facilitating the technical execution of the token sale, including processing USDC contributions and enabling refunds should the minimum funding threshold not be met.

Stage explicitly disclaims any responsibility for the accuracy, completeness, or legitimacy of any statements, projections, or promises made by the offeror of unverified launches. Stage will not be liable for any losses, disputes, or legal issues arising from the project's failure to deliver on its promises, including but not limited to mismanagement or regulatory non-compliance. It is recommended that purchasers consult with financial and legal advisors before participating. By participating, you acknowledge that you are acting at your own risk and that Stage bears no responsibility for the outcome of your purchase.

4. SWAP INTERFACE

The Swap Interface provides a web or mobile-based means of access to decentralized protocols on the Monad blockchain that allows users to trade certain compatible digital assets.

The Stage Swap Interface is distinct from the Uniswap Protocol that it references and is one, but not the exclusive, means of accessing the Uniswap Protocol. The Uniswap Protocol itself has four versions, designated as v1, v2, v3, and v4, each of which comprises open-source or source-available self-executing smart contracts that are deployed on various public blockchains, such as Monad. BlockLive does not control or operate any version of the Uniswap Protocol on any blockchain network. By using the Interface, you understand that you are not buying or selling digital assets from us and that we do not operate any liquidity pools on the Uniswap Protocol or control trade execution on the Uniswap Protocol. When traders pay fees for trades, those fees accrue to liquidity providers for the Uniswap Protocol. As a general matter, BlockLive is not a liquidity provider into Protocol liquidity pools and liquidity providers are independent third parties. Deployments on other networks typically make use of cross-chain bridges, which allow assets native to one blockchain to be transferred to another blockchain. Please note that digital assets that have been "bridged" or "wrapped" to operate on Monad are distinct from the original Monad mainnet asset.

To access the Swap Interface, you must use Privy's non-custodial wallet software, which allows you to interact with the Monad blockchain. Your relationship with Privy is governed by the applicable terms of service as detailed here https://www.privy.io/user-terms-of-service. We do not have custody or control over the contents of your wallet and have no ability to retrieve or transfer its contents. By connecting to our Interface through Privy, you agree to be bound by this Agreement and all of the terms incorporated herein by reference.

You understand and acknowledge that the Uniswap Protocol is not a product of Stage and we do not control the Uniswap Protocol. The Swap Interface may route trades via Uniswap's Router contracts; we make no guarantees on execution speed or best price due to blockchain variability.

Users must review and agree to Uniswap Labs' Terms of Service (link here: https://support.uniswap.org/hc/en-us/articles/30935100859661-Uniswap-Labs-Terms-of-Service) before using the Swap Interface.

5. NOTICE

The platform exists solely to allow the sale of collectible tokens "Culture Coins". Culture Coins are not securities, but regulatory interpretations may vary and users bear compliance responsibility. Users must ensure compliance with evolving regulations (e.g., SEC or EU MiCA interpretations). All outcomes are market based and Stage cannot control or influence outcomes. Any token available on the platform does not constitute any interest in or operational significance for Stage or projects or individuals utilizing the platform.

If any utility exists, it is dictated through programmatic instructions on chain via Monad Smart Contracts. By using the Platform and the Services, you acknowledge and agree that tokens on Stage should be traded solely as cryptographic assets intended to function as set forth above, and that you are acquiring the tokens on Stage or via the Platform as an expression of support for, and engagement with, these Culture Coins and not as an investment opportunity, investment contract, or security of any type.

Please be aware that:

  • The value of the tokens on Stage may be extremely volatile
  • You may experience substantial losses in connection with a sale or other disposition of said tokens
  • We make no promise or guarantee that the tokens on Stage will increase in value or maintain the same value as the amount you paid to acquire the same
  • No information and/or Content made available by and through the Services is or should be considered advice or recommendation or an invitation to enter into any agreement for any investment purpose
  • No element of the Services qualifies or is intended to be an offering of securities in any jurisdiction

IT REMAINS THE USERS SOLE AND EXCLUSIVE RESPONSIBILITY TO ASSURE THAT THE USE OF THE PLATFORM AND THE USE OF CRYPTOCURRENCIES COMPLIES WITH LAWS AND REGULATIONS OF YOUR JURISDICTION AND ALL APPLICABLE JURISDICTIONS.

ALL TRANSACTIONS ON STAGE ARE FINAL AND NON-REFUNDABLE. We shall have no responsibility or liability for any tokens that are lost, misplaced, or inaccessible. The user is solely responsible for reporting and paying any taxes applicable to your use of the Services or the purchase or trade of tokens.

6. ELIGIBILITY

6.1 Age Requirements

  • All users must be at least 18 years of age or the age of majority in their jurisdiction, whichever is higher
  • Users may be required to provide age verification documentation upon request
  • Parents or legal guardians cannot create accounts on behalf of minors

6.2 Legal Capacity

  • Users must have the legal capacity to enter into binding contracts in their jurisdiction
  • Users must not be under any legal guardianship or conservatorship that would restrict their ability to enter agreements
  • Users must be able to understand and consent to all terms and conditions

6.3 Geographic Restrictions

  • Users must not be residents of restricted jurisdictions, including but not limited to:
    • Countries under comprehensive international sanctions
    • Regions where the service is prohibited by local laws or regulations
    • Areas where specific licenses or regulatory approvals are required
  • Users must notify us immediately if they relocate to a restricted jurisdiction

6.4 Sanctions and Export Controls

  • Users must not be listed on any sanctions lists or denied parties lists
  • Users must not be subject to economic or trade restrictions
  • Users must not be acting on behalf of any sanctioned individuals or entities
  • Users must comply with all applicable export control regulations

6.5 Verification Requirements

  • Users may be required to provide documentation to verify their eligibility
  • The company reserves the right to request additional verification at any time
  • False or misleading information regarding eligibility may result in immediate account termination

6.6 Ongoing Compliance

  • Users must maintain eligibility throughout the duration of service use
  • Users must promptly notify us of any changes affecting their eligibility status
  • Regular eligibility reviews may be conducted to ensure continued compliance

6.7 Account Restrictions

  • The company reserves the right to suspend or terminate accounts that fail to meet eligibility requirements
  • Access may be limited or denied if eligibility status cannot be verified
  • Users found to be ineligible will have their accounts terminated with immediate effect

7. RISKS AND DISCLAIMERS

7.1 Assumption of Risk Generally

BY ACCESSING AND USING STAGE OR ANY THIRD-PARTY SERVICES, YOU REPRESENT THAT YOU ARE FINANCIALLY AND TECHNICALLY SOPHISTICATED ENOUGH TO UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH USING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS, AND THAT YOU HAVE A WORKING KNOWLEDGE OF THE USAGE AND INTRICACIES OF DIGITAL ASSETS SUCH AS MONAD (MON), STABLECOINS, AND OTHER DIGITAL TOKENS SUCH AS THOSE FOLLOWING THE ETHEREUM TOKEN STANDARD (ERC-20).

IN PARTICULAR, YOU UNDERSTAND THAT THE MARKETS FOR THESE DIGITAL ASSETS ARE NASCENT AND HIGHLY VOLATILE DUE TO RISK FACTORS INCLUDING, BUT NOT LIMITED TO, ADOPTION, SPECULATION, TECHNOLOGY, SECURITY, AND REGULATION. YOU UNDERSTAND THAT ANYONE CAN CREATE A TOKEN, INCLUDING FAKE VERSIONS OF EXISTING TOKENS AND TOKENS THAT FALSELY CLAIM TO REPRESENT PROJECTS, AND ACKNOWLEDGE AND ACCEPT THE RISK THAT YOU MAY MISTAKENLY TRADE THOSE OR OTHER TOKENS. SO-CALLED STABLECOINS MAY NOT BE AS STABLE AS THEY PURPORT TO BE, MAY NOT BE FULLY OR ADEQUATELY COLLATERALIZED, AND MAY BE SUBJECT TO PANICS AND RUNS.

FURTHER, YOU UNDERSTAND THAT SMART CONTRACT TRANSACTIONS AUTOMATICALLY EXECUTE AND SETTLE, AND THAT BLOCKCHAIN-BASED TRANSACTIONS ARE IRREVERSIBLE WHEN CONFIRMED. YOU ACKNOWLEDGE AND ACCEPT THAT THE COST AND SPEED OF TRANSACTING WITH CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS SUCH AS MONAD ARE VARIABLE AND MAY INCREASE DRAMATICALLY AT ANY TIME. YOU FURTHER ACKNOWLEDGE AND ACCEPT THE RISK OF SELECTING TO TRADE IN THE SWAP INTERFACE, WHICH CAN EXPOSE YOU TO POTENTIALLY SIGNIFICANT PRICE SLIPPAGE AND HIGHER COSTS.

IF YOU ACT AS A LIQUIDITY PROVIDER TO THE UNISWAP PROTOCOL THROUGH THE SWAP INTERFACE, YOU UNDERSTAND THAT YOUR DIGITAL ASSETS MAY LOSE SOME OR ALL OF THEIR VALUE WHILE THEY ARE SUPPLIED TO THE UNISWAP PROTOCOL THROUGH THE INTERFACE DUE TO THE FLUCTUATION OF PRICES OF TOKENS IN A TRADING PAIR OR LIQUIDITY POOL.

FINALLY, YOU UNDERSTAND THAT WE DO NOT CREATE, OWN, OR OPERATE CROSS-CHAIN BRIDGES AND WE DO NOT MAKE ANY REPRESENTATION OR WARRANTY ABOUT THE SAFETY OR SOUNDNESS OF ANY CROSS-CHAIN BRIDGE, INCLUDING ITS USE FOR UNISWAP GOVERNANCE.

IN SUMMARY, YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING STAGE. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING STAGE.

7.2 NO INVESTMENT ADVICE

WE MAY PROVIDE INFORMATION ABOUT TOKENS IN OUR PRODUCTS SOURCED FROM THIRD-PARTY DATA PARTNERS. WE MAY ALSO PROVIDE WARNING LABELS OR VERIFICATION LABELS FOR CERTAIN TOKENS. THE PROVISION OF INFORMATIONAL MATERIALS DOES NOT MAKE TRADES IN THOSE TOKENS SOLICITED; WE ARE NOT ATTEMPTING TO INDUCE YOU TO MAKE ANY PURCHASE AS A RESULT OF INFORMATION PROVIDED. ALL SUCH INFORMATION PROVIDED BY ANY OF OUR PRODUCTS IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSTRUED AS INVESTMENT ADVICE OR A RECOMMENDATION THAT A PARTICULAR TOKEN IS A SAFE OR SOUND INVESTMENT.   • Smart contracts may contain undiscovered bugs, errors, or vulnerabilities
  • Security audits do not guarantee absence of flaws
  • Smart contract interactions are irreversible once confirmed
  • Code upgrades or modifications may introduce new risks
  • Technical failures could result in delayed or failed transactions
  • Third-party integrations may introduce additional vulnerabilities

7.5 Network and Infrastructure Risks

  • Hardware wallet malfunctions could affect access
  • Backup procedures are the user's responsibility

8. USER RESPONSIBILITIES

8.1 User Responsibilities

Understanding of technical operations necessary. Backup of critical information required. Compliance with local regulations is mandatory. Immediate reporting of security concerns is mandatory.

Users must:

  • Maintain security of their private keys and wallets
  • Conduct due diligence before transactions
  • Comply with applicable laws and regulations
  • Immediately report security vulnerabilities responsibly
  • Not engage in market manipulation or fraudulent activity
  • Pay all applicable fees (e.g., gas, Uniswap Protocol swap fees)
  • Not use the Services for prohibited purposes under U.S. Export Controls
  • Undergo any required KYC/AML verification processes if requested by BlockLive, to ensure compliance with anti-money laundering laws.

8.2 Trading

You agree and understand that: (a) all trades you submit through Stage are considered unsolicited, which means that they are solely initiated by you; (b) you have not received any investment advice from us in connection with any trades, and (c) we do not conduct a suitability review of any trades you submit.

9. INTELLECTUAL PROPERTY

  • Open-source components are subject to respective licenses
  • Platform interfaces are protected by applicable IP laws
  • Users retain rights to their own content
  • Community contributions may be incorporated into Stage
  • We retain all rights to trademarks, logos, and proprietary technology associated with Stage.

10. PROHIBITED ACTIVITIES

10.1 Security Circumvention Prohibition

Unauthorized Access Methods

Users are expressly forbidden from employing techniques designed to bypass security mechanisms, including but not limited to:

  • Exploiting software vulnerabilities
  • Utilization of automated tools to probe for weaknesses
  • Attempting to reverse-engineer security components
  • Creating or distributing tools intended to compromise protocol security
  • Using bots for manipulation

Authentication Integrity

  • Users must maintain the confidentiality of their access credentials
  • Users must not attempt to falsify identity information

Reporting Requirements

Users discovering security vulnerabilities must disclose them through proper channels rather than exploiting them

Boundary Testing

Even security research must be conducted within approved sandboxed environments

10.2 Prohibition of Illegal Activities

Compliance Obligation

All protocol interactions must comply with applicable local, national, and international laws

Prohibited Transactions

The services must not be used to facilitate:

  • Money laundering or terrorist financing
  • Transactions involving sanctioned entities or jurisdictions
  • Sale of illegal goods or services
  • Tax evasion or financial fraud
  • Wash trading or pump-and-dump schemes

Content Restrictions

Users may not transmit, store, or process illegal content through Stage

Regulatory Adherence

Users must comply with relevant financial regulations, data protection laws, and sector-specific requirements

10.3 Non-Interference Principle

Service Availability

Users shall not engage in actions that degrade service quality for others, including:

  • Launching denial-of-service attacks
  • Network flooding or transaction spamming
  • Resource monopolization through excessive requests
  • Deliberate creation of network congestion

Fair Resource Allocation

Users must respect resource limitations and not attempt to claim disproportionate system resources

Community Consideration

Technical implementations should consider impact on the broader ecosystem

10.4 Smart Contract Safety Requirements

Malicious Code Prohibition

Users must not deploy smart contracts containing:

  • Backdoors or hidden functions
  • Deliberately misleading functionality
  • Code designed to exploit other contracts
  • Functions that could compromise protocol stability

Responsible Deployment

Users must monitor their deployed contracts and respond promptly to discovered vulnerabilities

11. LIMITATIONS OF LIABILITY

ALL STAGE SERVICES, FEATURES, AND FUNCTIONALITIES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS OR GUARANTEES. STAGE MAKES NO CLAIMS REGARDING UPTIME, SPEED, OR OPERATIONAL EFFICIENCY. USERS ACCEPT THAT STAGE MAY UNDERGO CHANGES, UPDATES, OR MODIFICATIONS WITHOUT PRIOR NOTICE. STAGE ACKNOWLEDGES INHERENT TECHNOLOGICAL CONSTRAINTS AND MAKES NO PROMISES TO OVERCOME THEM. WHILE DOCUMENTATION AIMS TO BE ACCURATE, IT CARRIES NO GUARANTEE OF COMPLETENESS OR PRECISION.

UNDER NO CIRCUMSTANCES SHALL WE OR ANY THIRD-PARTY SERVICES BE LIABLE TO YOU FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE PROPERTY, ARISING OUT OF OR RELATING TO ANY ACCESS OR USE OF OR INABILITY TO ACCESS OR USE ANY OF THE PRODUCTS OR ANY THIRD-PARTY SERVICES, NOR WILL WE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF ANY OF THE PRODUCTS, THIRD-PARTY SERVICES OR THE INFORMATION CONTAINED WITHIN IT, WHETHER SUCH DAMAGES ARE BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF ANY OF THE PRODUCTS OR ANY THIRD-PARTY SERVICES, EVEN IF AN AUTHORIZED REPRESENTATIVE OF BLOCKLIVE HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY: (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ANY ACCESS OR USE OF THE INTERFACE; (C) UNAUTHORIZED ACCESS OR USE OF ANY SECURE SERVER OR DATABASE IN OUR CONTROL, OR THE USE OF ANY INFORMATION OR DATA STORED THEREIN; (D) INTERRUPTION OR CESSATION OF FUNCTION RELATED TO ANY OF THE PRODUCTS OR THIRD-PARTY SERVICES; (E) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE INTERFACE; (F) ERRORS OR OMISSIONS IN, OR LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF, ANY CONTENT MADE AVAILABLE THROUGH ANY OF THE PRODUCTS OR THIRD-PARTY SERVICES; AND (G) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

WE HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY CLAIMS OR DAMAGES THAT MAY ARISE AS A RESULT OF ANY PAYMENTS OR TRANSACTIONS THAT YOU ENGAGE IN VIA ANY OF OUR PRODUCTS OR ANY THIRD-PARTY SERVICES, OR ANY OTHER PAYMENT OR TRANSACTIONS THAT YOU CONDUCT VIA ANY OF OUR PRODUCTS. EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, WE DO NOT PROVIDE REFUNDS FOR ANY PURCHASES THAT YOU MIGHT MAKE ON OR THROUGH ANY OF OUR PRODUCTS.

NEITHER WE NOR ANY PROVIDERS OF THIRD-PARTY SERVICES MAKE ANY WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, ABOUT LINKED THIRD-PARTY SERVICES, THE THIRD PARTIES THEY ARE OWNED AND OPERATED BY, THE INFORMATION CONTAINED ON THEM, ASSETS AVAILABLE THROUGH THEM, OR THE SUITABILITY, PRIVACY, OR SECURITY OF THEIR PRODUCTS OR SERVICES. YOU ACKNOWLEDGE SOLE RESPONSIBILITY FOR AND ASSUME ALL RISK ARISING FROM YOUR USE OF THIRD-PARTY SERVICES, THIRD-PARTY WEBSITES, APPLICATIONS, OR RESOURCES. WE SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO SOFTWARE, PRODUCTS, SERVICES, AND/OR INFORMATION OFFERED OR PROVIDED BY THIRD-PARTIES AND ACCESSED THROUGH ANY OF OUR PRODUCTS.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF ONE HUNDRED U.S. DOLLARS ($100.00 USD) OR ITS EQUIVALENT IN THE LOCAL CURRENCY OF THE APPLICABLE JURISDICTION.

  • Non-infringement of third-party rights

  • Regulatory Compliance: No warranty that Stage meets specific regulatory or compliance requirements in any jurisdiction
  • Future Performance: No guarantees regarding future protocol development, maintenance, or improvement

11.2 Financial Loss Provisions

  • Users bear full responsibility for investment decisions and resulting financial outcomes
  • Stage accepts no responsibility for losses arising from market fluctuations or cryptocurrency volatility
  • Once executed on the blockchain, transactions cannot be reversed by Stage
  • Users assume all risks associated with smart contract execution, including unintended consequences
  • No liability for increased transaction costs due to network congestion

11.3 Third-Party Relationships

  • Third-party services, applications, or contracts are not under Protocol control
  • Stage does not guarantee the security, reliability, or accuracy of integrated third-party components
  • BlockLive assumes no responsibility for content accessed through external links
  • Stage assumes no liability for consequences resulting from oracle data inaccuracies or delays
  • BlockLive bears no responsibility for the actions of independent validators or node operators

11.4 Liability Cap

  • The total financial liability is at the amount paid by the user for services for the previous 12 months
  • For services provided without charge, liability is limited to the nominal amount permitted by law or fifty dollars ($50.00) whichever is less
  • Stage is not liable for indirect damages, consequential losses, lost profits, reputational harm, or punitive damages as a result of any use of Stage

All claims must be submitted within 180 days of occurrence

11.7 Force Majeure

BlockLive explicitly exempts itself from any liability for failures, disruptions, or damages that result from circumstances genuinely beyond reasonable control or anticipation. This force majeure provision specifically recognizes several categories of extraordinary events that qualify for this exemption. These include:

  • Natural disasters such as earthquakes, floods, hurricanes, or other severe weather events
  • Power outages affecting data centers or critical infrastructure
  • Internet backbone disruptions that impair global connectivity
  • Regulatory actions including emergency government orders or sudden legal changes
  • Cybersecurity incidents such as distributed denial-of-service attacks or zero-day exploits, regardless of their source or target
  • Pandemics or epidemics
  • Blockchain-specific events such as hard forks or network-wide failures
  • Uniswap Protocol downtime

While BlockLive will make reasonable efforts to maintain service during such events and to restore functionality promptly afterwards, users acknowledge that these circumstances may temporarily or permanently affect access, functionality, or data integrity without creating liability for BlockLive.

Notification and Mitigation Procedures

Stage will use every reasonable effort in notifying users of force majeure events and in addressing and resolving force majeure situations.

14. TERMINATION

15. INDEMNITY

You agree to indemnify, defend, and hold harmless BlockLive, its affiliates, and the Covered Parties from any claims, losses, damages, or expenses (including attorneys' fees) arising from your violation of these Terms, misuse of the Services, or infringement of third-party rights.

16. CLASS ACTION WAIVER

To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have against any of the Covered Parties. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorney's fees and court costs that any Covered Party incurs in seeking such relief.

This provision prevents you from bringing, joining or participating in class action lawsuits:

  • Does not constitute a waiver of any of your rights or remedies to pursue a claim individually and not as a class action in binding arbitration as provided below
  • Is an independent agreement

You may opt-out of these dispute resolution provisions by providing written notice of your decision within thirty (30) days of the date that you first access the Services.

FOR PURPOSES OF ANY COURT PROCEEDINGS, YOU AGREE THAT ANY SUCH DISPUTE SHALL BE TRIED BEFORE A JUDGE, AND NOT A JURY, AND YOU HEREBY WAIVE ANY RIGHT TO A TRIAL BEFORE A JURY. THE UNITED NATIONS CONVENTION ON THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED AND SHALL NOT APPLY TO THIS AGREEMENT OR ANY OF THE TRANSACTIONS CONTEMPLATED HEREBY.

17. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY: IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

17.1 Binding Arbitration

Except for disputes where BlockLive or the Covered Parties seek injunctive or equitable relief related to intellectual property, you waive your rights to have Disputes adjudicated in court or before a jury. All Disputes must be resolved by binding arbitration. "Disputes" means any and all claims, disputes, or controversies that may arise hereunder against BlockLive. or the Covered Parties.

17.2 Informal Dispute Resolution

You must notify us in writing of any Dispute within thirty (30) days of its arising, via email to support@blocklive.io or mail to BlockLive, Inc., 651 N Broad St, Suite 201, Middletown, DE 19709, United States. You agree to engage in a good faith informal resolution process, including at least one telephonic conference before proceeding to formal arbitration.

17.3 Arbitration Process

Arbitration will be conducted in Wilmington, Delaware, under the laws of the State of Delaware and the rules of the American Arbitration Association (AAA). A single arbitrator with relevant experience will be appointed. English shall be the language of arbitration. Arbitration is private and confidential unless disclosure is legally required.

17.4 No Class Actions

All Disputes must be brought individually. Class arbitrations, class actions, and representative actions are strictly prohibited. To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any Dispute that you may have against any of the Covered Parties. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorney's fees and court costs that any Covered Party incurs in seeking such relief. This provision preventing you from bringing, joining or participating in class action lawsuits is an independent agreement. You may opt-out of these dispute resolution provisions by providing written notice of your decision within thirty (30) days of the date that you first access the Services.

17.5 Consolidated Arbitrations

Arbitrations may be consolidated when appropriate, such as when they share common facts or legal issues.

17.6 Mass Arbitrations

If 25 or more similar claims are filed, a batching procedure will apply. Selected test cases will go to arbitration first, followed by mediation. Claims not resolved may return to arbitration in batches or may be opted out for court filing.

17.7 Severability

If any part of this arbitration clause is found unenforceable, the rest will still apply. Waivers are enforceable to the extent permitted by law.

17.8 Jurisdiction of Arbitrator

The arbitrator shall have exclusive authority to determine the scope, validity, and arbitrability of any Dispute.

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.

17.10 Release from Third-Party Disputes

You irrevocably and unconditionally agree to release the Covered Parties from any and all claims and demands (and waive any rights you may have now or in the future), arising directly or indirectly out of or in connection with any dispute you have with another user or third party, connected in any way with the Services, Platform, or these Terms.

These arbitration provisions survive the termination of these Terms.

18. COMPLIANCE

Users must adhere to a comprehensive framework of legal and regulatory requirements when engaging with Stage. This includes:

  • Strict compliance with all applicable laws and regulations in their jurisdiction of residence or operation, as well as any jurisdictions affected by their transactions
  • Following established anti-money laundering requirements, including proper identity verification procedures and suspicious activity reporting where mandated by law
  • Ensuring activities do not violate securities regulations, which may classify certain digital assets or protocol interactions as regulated investment activities subject to specific disclosure and registration requirements
  • Meeting all tax reporting obligations related to protocol transactions, including proper documentation of capital gains, losses, income, and other taxable events as defined by relevant tax authorities in their jurisdiction

We may implement KYC/AML procedures as required by law, and users must cooperate fully.

19. WALLETS

19.1 Wallet Responsibility

The Wallet that you may generate when logging in to Stage for the first time is provided by Privy.io and shall remain the responsibility of Privy.io and you. You acknowledge that Privy.io is not affiliated with us and you are solely responsible for reading and understanding Privy.io's terms and conditions as it relates to the Wallet you generate using their service. We have no control over your Wallet, however generated, or the private keys to it.

18.2 Wallet Operation

BlockLive shall not be responsible for the operation or features of the Wallet or be liable for any losses or damage incurred or suffered directly or indirectly as a result of using the Wallet.

19. MISCELLANEOUS

19.1 Severability

If any provision is held invalid, the remainder shall remain in effect.

19.2 Entire Agreement

These Terms constitute the full agreement between you and BlockLive, Inc.

19.3 Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.

19.4 No Waiver

Failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

19.5 Not Registered with the SEC or Any Other Agency

We are not registered with the U.S. Securities and Exchange Commission as a national securities exchange or in any other capacity. You understand and acknowledge that we do not broker trading orders on your behalf. We also do not facilitate the execution or settlement of your trades, which occur entirely on the Monad public blockchain. As a result, we do not (and cannot) guarantee market best pricing or best execution through Stage, which routes trades across liquidity pools on the Uniswap Protocol only. Any references to price in Stage do not constitute a representation or warranty about pricing available through Stage, on the Uniswap Protocol, or elsewhere.
